Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Organization", "Tenant", "You") and NGO ERP Platform ("Platform", "We", "Us"). By accessing our website, creating an account, or subscribing to our ERP services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Organization Eligibility & DARPAN Verification

To register and maintain an active tenant account on the Platform, organizations must meet the following criteria:

• Be a legally constituted non-profit entity under Indian laws (e.g., Indian Trusts Act, Societies Registration Act, or Companies Act Section 8).
• Provide accurate, verifiable registration details, including official NGO-DARPAN ID issued by NITI Aayog where applicable.
• Every self-registration is subject to administrative review and approval prior to full tenant activation to prevent fraudulent use.

3. Subscription Plans, Billing & Quotas

Access to the ERP platform is provided through tiered subscription plans (Starter, Growth, Enterprise, etc.) with specific resource quotas:

• Quotas: Each plan specifies maximum allowed staff user accounts, branches, and features. Creating additional accounts beyond your plan limit requires an upgrade.
• Billing Cycles: Subscriptions are billed in advance on a monthly, quarterly, semi-annual, or annual basis through authorized payment gateways (e.g., Razorpay) or approved bank transfer methods.
• Renewals: Tenants must renew subscriptions prior to expiry to ensure uninterrupted access. Inactive or expired subscriptions enter a grace period, after which access may be restricted.

4. Tenant Data Ownership & Responsibility

• Ownership: Your organization retains 100% ownership of all donor records, member profiles, volunteer directories, financial ledgers, and official documents stored within your tenant space.
• Accuracy & Compliance: The organization is solely responsible for the authenticity and accuracy of 80G tax receipt data, PAN numbers, and financial vouchers recorded. The platform functions as a management tool and does not provide legal, statutory, or chartered accountancy certification.
• Data Export: Authorized administrators can export financial reports, donor lists, and member rosters at any time in standard formats (PDF, Excel, CSV).

5. Prohibited Activities

Users and tenant accounts must not:

• Use the platform for any illegal, fraudulent, money laundering, or unauthorized fundraising activities.
• Issue fabricated, unauthorized, or falsified Section 80G tax exemption certificates.
• Attempt to bypass multi-tenant security boundaries, probe vulnerabilities, or reverse engineer any portion of the platform.
• Transmit malicious software, spam, or unsolicited bulk messages through integrated communication channels (Email, WhatsApp).

6. Service Availability & Support

We strive to maintain a 99.9% platform uptime. Occasional scheduled maintenance will be communicated in advance. We provide email and ticket-based support during standard Indian business hours for billing and technical assistance.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or claim arising out of or related to the Platform shall be subject to the exclusive jurisdiction of the competent courts in India.
